These Terms & Conditions (the "Terms") govern your access to and use of the Covre AI receptionist service (the "Service"), operated by Covre Technologies LLC ("Covre," "we," "us," or "our"). By creating an account, clicking "I agree," or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Covre provides an AI-powered virtual receptionist that answers and responds to inbound communications (such as SMS text messages, web chat, and voicemail) on behalf of your business, can help schedule appointments, capture leads, and flag urgent messages. The Service uses third-party providers including Anthropic (AI), Twilio (telephony and messaging), Stripe (payments), and others to deliver these features.

2. Eligibility & Accounts

You must be at least 18 years old and authorized to act on behalf of the business you register. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

Important — your responsibility. Covre sends and receives SMS messages and handles calls with your customers on your behalf. You are solely responsible for obtaining all consents required by law before any person is contacted through the Service, including under the U.S. Telephone Consumer Protection Act (TCPA), CAN-SPAM, state messaging laws, and applicable carrier and A2P 10DLC requirements.

You represent and warrant that, for every phone number you or your end customers submit to the Service, you have obtained the legally required prior express consent to send messages and place calls to that number. You agree to:

We may monitor, throttle, suspend, or terminate messaging that we reasonably believe violates law, carrier rules, or these Terms, without liability to you. You are responsible for any fines, penalties, or carrier fees arising from your messaging.

5. Acceptable Use

You agree not to: (a) use the Service for any unlawful, fraudulent, or harmful purpose; (b) attempt to gain unauthorized access to the Service or its systems; (c) interfere with or disrupt the Service; (d) reverse engineer, scrape, or resell the Service except as expressly permitted; (e) use the Service to generate or distribute content that is illegal, infringing, or abusive; or (f) use the Service to provide emergency, medical, legal, financial, or other professional advice where doing so would require a license you do not hold. We may suspend access immediately for conduct that risks harm to us, our providers, other users, or the public.

6. Customer Data & Ownership

You retain ownership of the data and content you and your customers submit through the Service ("Customer Data"). You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Data as needed to provide and improve the Service and as described in our Privacy Policy. You represent that you have all rights necessary to provide the Customer Data and to authorize this processing. We may generate and use aggregated, de-identified data (that does not identify you or any individual) to operate and improve the Service.

7. AI Output — No Guarantee of Accuracy

The Service relies on automated AI. AI-generated responses, bookings, summaries, and classifications may be incomplete, inaccurate, delayed, or wrong, and may occasionally fail to send or to detect urgency. The Service is an assistive tool, not a substitute for human judgment.

You acknowledge and agree that: (a) you are responsible for reviewing communications, appointments, and any commitments made through the Service; (b) you will not rely on the Service for emergency, life-safety, medical, legal, or other critical determinations; and (c) Covre is not responsible for actions taken, missed, or mishandled as a result of AI output, including missed messages, incorrect bookings, or misclassified urgency. You are responsible for monitoring your account and for backstopping the Service with human review where appropriate.

8. Call & Message Recording

The Service may record, transcribe, and store calls, voicemails, and messages to provide its features. Recording and monitoring laws vary by jurisdiction and some require the consent of all parties. You are responsible for providing any notices and obtaining any consents required for recording or transcription of communications handled through your account.

9. No Professional Advice

Covre is a software tool. Nothing produced by the Service constitutes legal, medical, financial, or other professional advice, and Covre does not guarantee any business outcome (such as a number of leads, bookings, or revenue). Business decisions you make using the Service are yours alone.

10. Third-Party Services

The Service integrates with third parties (e.g., Anthropic, Twilio, Stripe, Google, Meta). Your use of those integrations may be subject to the third party's own terms, and we are not responsible for their acts, omissions, outages, or changes.

11. Service Availability

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation, and we provide no uptime or service-level guarantee unless separately agreed in writing. We may modify, suspend, or discontinue features, and may perform maintenance, with or without notice.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED OR SECURE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVRE AND ITS OWNERS, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS, OR FOR ANY MISSED, DELAYED, OR MISHANDLED COMMUNICATIONS OR BOOKINGS, ARISING OUT OF OR RELATED TO THE SERVICE, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Covre and its owners, affiliates, and suppliers from any claims, damages, liabilities, penalties, fines, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your Customer Data; (c) your messaging or calling practices, including any failure to obtain required consent or to honor opt-outs; or (d) your violation of these Terms or applicable law.

15. Termination

We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us, other users, or third parties. You may stop using the Service and cancel at any time. Upon termination, your right to use the Service ends, and we may delete your data after a reasonable period subject to our Privacy Policy and applicable law. Sections that by their nature should survive (including Sections 6, 7, 9, 12, 13, 14, 16, and 20) will survive termination.

16. Dispute Resolution; Binding Arbitration & Class-Action Waiver

Please read this section carefully — it affects how disputes are resolved and limits your ability to sue in court or participate in a class action.

Except for claims that may be brought in small-claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration rather than in court, administered by a recognized arbitration provider under its applicable rules, seated in Illinois (or conducted remotely). The arbitrator decides all issues, except that a court may decide the enforceability of this section.

Class-action waiver. You and Covre agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

Opt-out. You may opt out of this arbitration agreement by emailing support.covre@gmail.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. If this section is found unenforceable, the dispute will proceed in the courts identified in Section 17.

17. Governing Law & Venue

These Terms are governed by the laws of the State of Illinois, USA, without regard to its conflict-of-laws rules. Subject to Section 16, you and Covre submit to the exclusive jurisdiction of the state and federal courts located in Illinois for any dispute not subject to arbitration.

18. Force Majeure

Covre is not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages or changes at third-party providers (such as Anthropic, Twilio, Stripe, or hosting providers), carrier actions, internet failures, natural disasters, or governmental action.

19. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms, including in connection with a merger, acquisition, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.

20. General

These Terms (together with the Privacy Policy and any order you place) are the entire agreement between you and Covre regarding the Service and supersede prior agreements. If any provision is found unenforceable, the rest remains in effect and the unenforceable provision is modified to the minimum extent necessary. Our failure to enforce a provision is not a waiver. Headings are for convenience only.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance.
